OVERVIEW

Welcome to grazzy. The terms "we", "us" and "our" refer to grazzy.

grazzy operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). grazzy is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced in them, describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully. By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service.

Personal information collected through the Services is processed in accordance with our Privacy Policy, which is available through the Privacy Policy link on our website.

If you do not agree to these Terms of Service, you should not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT

You may use the Services only if you are legally capable of entering into a binding agreement under the laws that apply to you.

If you are under the age of 18, you may use the Services only with the involvement and consent of a parent or legal guardian where required by applicable law.

To use certain parts of the Services, including purchasing products, you may be asked to provide information such as your email address, billing information, payment information and shipping information.

You agree that the information you provide is accurate, current and complete and that you have the right to provide it.

If you create an account, you are responsible for maintaining the security of your account credentials and for activity carried out through your account. You may not sell, transfer or provide your account credentials to another person without our permission.

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to display and describe our products accurately, including their materials, sizes, colours and appearance.

However, colours and product appearance may vary slightly depending on your device, screen settings, lighting and other factors.

Minor differences in appearance do not affect your statutory rights. Nothing in these Terms limits any legal rights you may have if a product is defective, damaged, incorrectly described or otherwise does not conform to the agreement.

Product descriptions, specifications, availability and ranges may be updated from time to time. We reserve the right to discontinue products or limit quantities or availability where reasonably necessary.

Any changes made after your order has been accepted will not reduce the rights you have in relation to that order.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase the products included in that order.

An order is accepted once grazzy confirms acceptance of the order. Payment must be authorised before an order can be processed.

We may decline or cancel an order where reasonably necessary, including because of product unavailability, payment failure, suspected fraud, delivery restrictions or an obvious pricing or product-information error.

If we cancel an order after payment has been received, we will refund the relevant amount.

Please review your order carefully before submitting it. If you need to request a change or cancellation, contact us as soon as possible at hello@grazzy.store. Once processing has begun, we cannot guarantee that an order can be changed or cancelled before dispatch.

This does not affect your statutory right of withdrawal.

Consumers purchasing online in the European Union or European Economic Area generally have the right to withdraw from a purchase within 14 days after receiving the goods, without giving a reason, unless a statutory exception applies.

Details about withdrawal, returns and refunds are set out in our Refund Policy, available through the Refund Policy link on our website.

Nothing in these Terms or our Refund Policy limits any mandatory statutory rights you may have, including rights relating to withdrawal, conformity, repair, replacement, price reduction or refund.

Products purchased through the store are intended for personal or household use unless otherwise agreed. You may not purchase products for unauthorised commercial resale.

SECTION 4 - PRICES AND BILLING

Prices, discounts and promotions may change from time to time.

The price applicable to your purchase is the price displayed when you place your order and will be confirmed in your order confirmation.

Prices displayed to consumers include VAT and other mandatory taxes where required by applicable law.

Any applicable delivery costs or other charges will be shown separately before you submit your order.

For deliveries to destinations where customs duties, import taxes or other local charges are not collected by us at checkout, those charges may be imposed by the authorities of the destination country and may be payable by you.

We do not control customs duties or other charges imposed by local authorities.

We may offer promotions that are subject to separate terms and conditions. If separate promotional terms conflict with these Terms, the promotional terms will apply to that promotion, provided that they do not limit mandatory consumer rights.

You agree to provide current, complete and accurate purchase, payment and contact information.

You represent that you are authorised to use the payment method you provide.

You are responsible for paying the order total shown to you before placing your order, including any applicable shipping charges and taxes.

SECTION 5 - SHIPPING AND DELIVERY

Information about available delivery areas, delivery methods, shipping costs and estimated delivery times is provided on our website and/or during checkout.

Delivery times are estimates unless we expressly agree otherwise.

Occasionally, delivery may be affected by circumstances outside our reasonable control, including carrier delays, customs processing, severe weather, strikes or other exceptional events.

If delivery is delayed, your statutory consumer rights remain unaffected.

Where required by applicable law, you may be entitled to give us an additional reasonable period to deliver and, if we still do not deliver within that period, cancel the contract and receive a refund.

For consumer orders, the risk of loss or damage to the products remains with grazzy until you, or another person designated by you other than the carrier, physically receive the goods, except where applicable law provides otherwise.

If you independently arrange delivery through a carrier that was not offered by us, different rules may apply as provided by law.

If an order is lost, damaged or significantly delayed during delivery, please contact us at hello@grazzy.store so that we can investigate and provide the appropriate remedy.

Nothing in this section limits your mandatory statutory rights.

SECTION 6 - INTELLECTUAL PROPERTY

Our Services, including our trademarks, brand names, text, images, photography, illustrations, graphics, video, audio, product designs, website designs and the selection and arrangement of this content, are owned by grazzy, its affiliates or licensors and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use.

Except where permitted by law, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store or transmit material from the Services without our prior written consent.

Nothing in these Terms grants you a licence or other right to use intellectual property belonging to grazzy, Shopify or any third party except where expressly stated.

All rights not expressly granted are reserved.

grazzy's name, logos, product names, designs, graphics and slogans are trademarks or other protected brand assets belonging to grazzy or its licensors and may not be used without our prior written permission.

Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify.

All other names, logos, product and service names, designs and slogans appearing through the Services belong to their respective owners.

SECTION 7 - OPTIONAL TOOLS

We may provide you with access to tools, features or services offered by third parties.

We do not necessarily monitor or control these third-party tools.

Third-party tools may be provided "as is" and "as available" and may be subject to the third party's own terms and privacy policies.

To the extent permitted by applicable law, grazzy is not responsible for problems arising solely from third-party tools that we do not operate or control.

You should review the applicable third-party terms before using those tools.

We may introduce new features, tools or resources through the Services in the future. Unless otherwise stated, those features will also form part of the Services and will be subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain links to websites, services or content operated by third parties.

We are not responsible for examining or verifying all third-party websites and do not control their content, accuracy, security or practices.

If you choose to access a third-party website, that website may be subject to separate terms and privacy policies.

To the extent permitted by law, grazzy is not responsible for losses caused solely by products, services or content supplied directly by an independent third party.

Complaints, questions or claims relating to a third party's own products or services should be directed to that third party.

Nothing in this section limits any responsibility grazzy has under applicable law for products or services purchased directly from grazzy.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

grazzy is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make in our Store are made directly with grazzy.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and grazzy, including any injury, damage, or loss resulting from purchased products and services.

You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with grazzy, to the extent permitted by applicable law.

SECTION 10 - PRIVACY POLICY

Personal information collected through the Services is processed in accordance with our Privacy Policy, which is available through the Privacy Policy link on our website.

Certain personal information may also be processed by Shopify in connection with providing the platform and Services.

Because our store is hosted by Shopify, Shopify processes certain information about your access to and use of the Services in order to operate and improve its platform and provide services to us.

Information may also be processed by other service providers we use to operate our store, process payments, fulfil orders, provide analytics, communicate with customers or provide other business functions.

SECTION 11 - FEEDBACK

If you submit, upload, post, email or otherwise provide reviews, photographs, ideas, suggestions, feedback or other content to us ("Feedback"), you confirm that you have the right to provide that Feedback.

You grant grazzy a non-exclusive, worldwide and royalty-free licence to use, reproduce, display, publish, adapt and share that Feedback for purposes reasonably connected with operating, improving and promoting grazzy and our Services.

This licence does not affect any rights that cannot legally be transferred or waived and is subject to applicable privacy and data-protection laws.

You represent that your Feedback will not knowingly infringe the intellectual property, privacy or other rights of another person and will not contain unlawful, abusive, defamatory, obscene or malicious content.

We may remove Feedback where we reasonably believe it violates these Terms or applicable law.

You remain responsible for the Feedback you provide and its accuracy.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally, information on the Services may contain typographical errors, inaccuracies or omissions relating to matters such as product descriptions, prices, promotions, availability, shipping charges or delivery estimates.

We may correct errors and update information on the Services.

If an error affects an order that has not yet been accepted, we may correct the information or decline the order and refund any amount already paid.

If an order has already been accepted, we will only change or cancel it where this is permitted by applicable law or with your agreement.

Nothing in this section limits your mandatory consumer rights.

SECTION 13 - PROHIBITED USES

You may access and use the Services only for lawful purposes.

You may not use the Services:

(a) for any unlawful or malicious purpose;

(b) to violate applicable laws, regulations or the rights of another person;

(j) to interfere with, circumvent or compromise the security or proper operation of the Services;

(k) to scrape, extract, reproduce or exploit substantial parts of the Services in violation of applicable law or our intellectual property rights; or

(l) to use the Services in another way that materially interferes with another person's use of them or exposes grazzy, Shopify or other users to unlawful harm or liability.

We may restrict or suspend access where we reasonably believe these Terms have been materially violated.

SECTION 14 - AGENTS

For purposes of this section, an "Agent" means software or a service that takes autonomous or semi-autonomous actions on behalf of, or at the instruction of, a person or organisation.

An Agent may not access, use or interact with the Services in a manner that violates these Terms, bypasses technical protections or misrepresents automated activity as human activity.

Where an Agent interacts with the Services, it must comply with applicable technical identification requirements and must not conceal or misrepresent the fact that the interaction is automated.

Agents may not circumvent CAPTCHAs, access restrictions, robot-exclusion measures or other safeguards used to manage automated access.

We may use technical measures to limit or prevent automated access where reasonably necessary to protect the Services, our customers or our rights.

SECTION 15 - TERMINATION

We may suspend or terminate your access to the Services where we have a legitimate reason to do so, including a material breach of these Terms, unlawful use, fraud, security concerns or conduct that materially harms the Services or other users.

Where reasonably possible and required by law, we will provide appropriate notice.

Termination or suspension of access to the Services does not affect rights and obligations that arose before termination, including rights relating to accepted orders, payments, refunds, statutory guarantees or other mandatory consumer protections.

Provisions that by their nature are intended to continue after termination will remain in effect.

SECTION 16 - WARRANTIES AND STATUTORY RIGHTS

We aim to keep the information provided through the Services accurate and up to date, but website content may occasionally be incomplete, unavailable or contain errors.

This does not affect any specific representations we make about products you purchase or any statutory rights you have.

Products sold by grazzy are subject to the statutory conformity and legal guarantee rights applicable to your purchase.

Products must conform to the agreement and meet the standards that a consumer may reasonably expect under applicable law.

If a product is defective, damaged, not as described or otherwise does not conform to the agreement, you may have statutory rights including repair, replacement, a price reduction or a refund, depending on the circumstances and applicable law.

Nothing in these Terms excludes, restricts or replaces any warranty, guarantee, remedy or consumer right that cannot legally be excluded or restricted.

SECTION 17 - LIABILITY

Nothing in these Terms excludes or limits liability where doing so would be unlawful or limits any mandatory consumer rights or remedies available to you.

Where you are a consumer, grazzy is responsible for losses that are a foreseeable result of our breach of these Terms or of our failure to exercise the standard of care required by applicable law.

We are not responsible for losses that could not reasonably have been foreseen when the agreement was entered into.

Where products are purchased primarily for personal or household purposes, we are not responsible for commercial or business losses resulting from their use.

Nothing in this section excludes or limits liability for fraud, intentional misconduct, death or personal injury where such liability cannot legally be limited, or any other liability that applicable law does not permit us to exclude or limit.

SECTION 18 - RESPONSIBILITY FOR MISUSE

To the extent permitted by applicable law, you are responsible for losses or claims that arise directly from your intentional or unlawful misuse of the Services, your material breach of these Terms or your infringement of the rights of another person.

This section does not make you responsible for losses caused by grazzy, Shopify or another third party and does not limit any mandatory consumer rights or remedies.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be applied to the fullest extent permitted by law or, where necessary, severed from these Terms.

The remaining provisions will continue to apply.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

If we do not immediately exercise or enforce a right under these Terms, this does not mean that we waive that right.

These Terms, together with the policies and other terms expressly incorporated by reference, form the agreement governing your use of the Services and purchases made through the store, subject always to any mandatory rights you have under applicable law.

These Terms are intended to be clear and understandable.

Where applicable consumer law requires an ambiguous standard term to be interpreted in the consumer's favour, that rule will apply.

SECTION 21 - ASSIGNMENT

You may transfer rights under these Terms where applicable law permits you to do so.

We may transfer or assign our rights or obligations under these Terms as part of a transfer, restructuring or sale of our business or for another legitimate business reason, provided that doing so does not reduce any mandatory rights you have as a consumer.

Where applicable law requires your consent to such a transfer, we will obtain it.

SECTION 22 - GOVERNING LAW

These Terms and agreements between you and grazzy are governed by Dutch law.

If you are a consumer residing in another country, this choice of law does not deprive you of any mandatory consumer protections that apply to you under the laws of your country of residence.

Any disputes will be submitted to a competent court in accordance with applicable law.

Nothing in this section limits any right you may have as a consumer to bring proceedings before another court that has jurisdiction under mandatory consumer law.

The headings used in these Terms are included for convenience only and do not limit or otherwise affect the interpretation of these Terms.

SECTION 24 - CHANGES TO THESE TERMS OF SERVICE

You can review the current version of these Terms of Service on this page.

We may update these Terms from time to time where reasonably necessary, including because of changes to our Services, business practices or applicable law.

Where required by law, we will provide appropriate notice of material changes.

Changes will apply from the effective date stated in the updated Terms.

Changes to these Terms will not retrospectively reduce rights relating to orders that were already accepted before the changes took effect.
